Terms of Service

These Terms of Service ("Terms") constitute a binding agreement between you ("Customer," "you") and LinqTV LLC ("LinqTV," "we," "us") governing access to www.linqtv.com and use of LinqTV products, including LinqTV One, LinqTV Live, LinqTV Flex, LinqTV Playout, Player SDK, APIs, and related professional services (collectively, the "Services").

By creating an account, executing an order form, starting a trial, or using the Services, you agree to these Terms. If you accept on behalf of an organization, you represent that you have authority to bind that organization.

1. Account registration and eligibility

You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account. You must be at least 18 years old or the age of majority in your jurisdiction to enter into these Terms. Services may not be used where prohibited by law.

2. Service description

LinqTV provides a cloud-based streaming platform enabling customers to host, distribute, monetize, and analyze video and audio content across web, mobile, and connected TV endpoints. Specific features, usage limits, and service levels are defined in your order form, plan documentation, or statement of work.

We may update features from time to time. Non-material changes that improve security or performance will not materially diminish core functionality during a paid term.

3. Customer content and responsibilities

You retain ownership of content you upload ("Customer Content"). You grant LinqTV a limited license to host, transcode, transmit, and display Customer Content solely to provide the Services. You represent that you have all rights necessary to distribute Customer Content and that it does not infringe third-party rights or violate applicable law.

• You are solely responsible for ratings, geo-restrictions, and parental controls for your service
• You must not upload unlawful, defamatory, or malicious material
• You must comply with copyright, publicity, and telecommunications regulations in each territory you serve
• You must maintain appropriate terms of use and privacy notices for your end-users

4. Acceptable use

You agree not to misuse the Services. Prohibited activities include attempting unauthorized access, interfering with platform integrity, circumventing DRM or access controls, distributing malware, sending spam, or using the Services to host content that exploits minors, promotes violence, or violates our Acceptable Use Policy at /legal/aup. We may suspend or terminate access for material violations.

5. Fees, billing, and taxes

Fees are specified in your plan or order form. Unless otherwise stated, subscriptions renew automatically. Overages for bandwidth, storage, encoding, or live streaming hours are billed per published rate cards. You are responsible for applicable taxes. Late payments may incur suspension after notice. Refund terms are defined in your order or promotional offer.

6. Trials and beta features

Trials are provided as-is without warranty and may be modified or discontinued. Beta or preview features may be unstable and are excluded from SLA commitments unless expressly agreed in writing.

7. Intellectual property

LinqTV retains all rights in the platform, software, documentation, trademarks, and proprietary technology. Except for the limited rights expressly granted, no rights are transferred. You may not reverse engineer, copy, or create derivative works of the Services except as permitted by law or written authorization.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect such information with reasonable care and use it only for purposes of the relationship. Confidentiality obligations survive termination.

9. Warranties and disclaimers

LinqTV warrants that it will provide the Services in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" AND LINQTV DISCLAIMS ALL OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LinqTV does not guarantee uninterrupted or error-free operation.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. LINQTV'S AGGREGATE LIABILITY ARISING FROM THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO LINQTV IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT FOR LIABILITY THAT CANNOT BE LIMITED BY LAW.

11. Indemnification

You will defend and indemnify LinqTV against third-party claims arising from Customer Content, your end-user service, or your breach of these Terms. LinqTV will defend you against claims that the platform infringes a third-party intellectual property right, subject to standard exclusions for combinations, modifications, or misuse.

12. Term and termination

These Terms remain in effect while you use the Services. Either party may terminate for material breach not cured within thirty (30) days of notice. Upon termination, you must cease use and pay outstanding fees. We will make Customer Content available for export for a limited period, after which it may be deleted per our retention schedule.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules. Disputes will be resolved through good-faith negotiation, then binding arbitration or courts in Delaware where arbitration is not permitted by law. Nothing prevents either party from seeking injunctive relief for intellectual property misuse.

14. General provisions

These Terms, together with order forms, DPAs, SLAs, and incorporated policies, constitute the entire agreement. If a provision is unenforceable, the remainder stays in effect. You may not assign these Terms without consent; LinqTV may assign in connection with a corporate transaction. Notices to LinqTV: legal@linqtv.com.
